kapstone paper & packaging corp. agreed to acquire privately held victory packaging in a deal valued at at least 615 million. kapstone sees the deal increasing the utilization of its assets and mills.northbrook, ill.based kapstone said that excluding an anticipated tax benefit, the purchase price is roughly 515 million. if certain performance targets are met, two contingent payouts totaling 45 million are possible between 2 12 years to four years after the closing of the deal&mdashwhich is expected during the current quarter.the transaction is expected to add to kapstone&rsquos bottom line immediately while generating significant cost savings, according to the company&rsquos news release tuesday.kapstone chairman and chief executive roger w. stone said victory currently buys about 370,000 tons of corrugated products annually, of which kapstone expects to supply an incremental 115,000 tons. houstonbased victory packaging has 65 distribution centers located in the u.s., mexico and canada. last year, victory&rsquos net sales reached 953 million.
